Acceptance of Terms

By accessing or using KIO AI, you agree to be bound by these Terms of Service, our Privacy Policy, and our Refund Policy. If you do not agree to all terms, you may not use the service. These terms constitute a legally binding agreement between you and Ayubots Robotics.

Service Description

KIO AI is a software tool that provides AI-powered question answering animated character designed for business use. The service enables businesses to deploy Q&A robots on various devices for customer interaction purposes. You acknowledge that KIO AI is a software tool only — all business decisions, implementations, compliance, and outcomes remain your sole responsibility.

Billing, Payments & Merchant of Record

All purchases of KIO AI are sold by Paddle.com Market Limited ("Paddle"), our authorized reseller. Paddle is the Merchant of Record for your Transaction: Paddle appears as the seller on your invoice and bank statement, collects payment, calculates and remits applicable sales tax, VAT, and similar charges, and is contractually responsible to you for the payment aspects of the purchase. Ayubots Robotics remains responsible for the KIO AI product itself, including its features, support, and performance.

Before completing checkout, you will be shown the product, price, billing frequency, and whether the purchase is a subscription. Subscriptions renew automatically at the then-current price unless canceled before the renewal date, and prices may change with advance notice as described below. By completing a purchase, you also accept our Refund Policy and Paddle's own Buyer Terms and Conditions, available at paddle.com/legal.

Refunds, billing disputes, and chargebacks are handled under our Refund Policy and by Paddle directly. Please see our Refund Policy or visit paddle.net for buyer support, or contact us at support@ayubots.com and we will assist or forward your request to Paddle.

Business Authorization Requirements

By creating an account and deploying KIO AI, you represent and warrant that you have the necessary authority, permissions, and legal right to bind your organization to these terms. You must have explicit authorization from your organization's appropriate decision-makers to implement AI in customer-facing roles.

Use License

You are granted a limited, non-exclusive, non-transferable, revocable license to use KIO AI for lawful business purposes only. This license does not permit:

• Modifying, copying, or creating derivative works of any materials
• Using the service for commercial resale or redistribution
• Reverse engineering, decompiling, disassembling, or attempting to extract source code, algorithms, or proprietary methods
• Unauthorized data mining, scraping, or automated data extraction
• Circumventing or disabling any security features, usage limits, or access controls
• Removing or altering any copyright, trademark, or proprietary notices
• Sublicensing or transferring your rights to any third party
• Any form of software piracy, unauthorized copying, or intellectual property theft

User Responsibilities & Business Compliance

You are solely responsible for:

• All content, configurations, and deployments of your robots
• Ensuring compliance with all applicable laws and regulations in your jurisdiction
• Obtaining necessary permissions, licenses, or approvals for your business use
• Training your staff and informing customers about AI interactions
• Monitoring performance and customer interactions
• Data protection, privacy compliance, and customer consent management
• Securing your account credentials and all activity under your account
• Age verification and compliance with minors protection laws where applicable

LLM Output Disclaimer

IMPORTANT: Responses generated by Large Language Models (LLMs) are not guaranteed to be accurate, appropriate, or suitable for any purpose. KIO AI may produce unpredictable, biased, harmful, or factually incorrect outputs. We disclaim all responsibility for robot responses, decisions, or actions. You must:

• Implement appropriate oversight and review mechanisms
• Never rely on LLM outputs for critical decisions without human verification
• Inform customers they are interacting with an AI/LLM-powered software
• Provide human escalation options when needed

Prohibited Uses

You may not use KIO AI:

• For any unlawful activity, including gambling, fraud, money laundering, or investment scams
• To violate any laws, regulations, or third-party rights
• For adult content, harassment, hate speech, or harmful activities
• For software piracy, intellectual property theft, or unauthorized access to systems
• For unauthorized data mining, web scraping, or automated data extraction from third parties
• To collect, store, or process sensitive personal information without proper safeguards
• In healthcare, legal, or financial advisory contexts without proper licensing
• To manipulate, deceive, or harm individuals or groups
• For bulk messaging, spam, or unsolicited communications

Reselling and Distribution

You may not resell, rebrand, or distribute the KIO AI software as your own product. Referrals must be made without markup or acting as an intermediary. Any bundled hardware offerings require prior authorization from Ayubots Robotics through a contractual agreement and must obtain a valid license. Hardware preloaded with KIO AI must include the disclosure “Powered by KIO AI by Ayubots Robotics” or other contractually approved phrasing on all materials where it is referenced. End-user accounts must be created directly by the user or by authorized personnel of the end organization. No external third parties may be involved in the signup process. We reserve the right to terminate accounts created or managed on behalf of third parties without authorization.

Marketing Materials Disclaimer

All marketing materials, promotional content, demonstrations, images, videos, case studies, and claims made about KIO AI are for illustrative and creative purposes only. They may not reflect actual performance, results, or capabilities in all scenarios. Marketing materials are not warranties or guarantees. Actual results may vary significantly based on implementation, usage, and circumstances. You should not rely solely on marketing materials when making business decisions.

You may receive marketing communications from us, including information about discounts, promotions, newsletters, and other relevant materials, where you have provided consent. You can opt out at any time using the unsubscribe option provided in the communication itself or by contacting us at support@ayubots.com.

Data and Privacy

You retain ownership of your data and content. However, you grant us necessary rights to process this data to provide the service. You are responsible for ensuring you have appropriate rights to any data you input. We may retain usage data for service improvement. See our Privacy Policy for detailed information handling practices, including how Paddle independently processes billing and payment data as Merchant of Record.

Service Availability & Research Preview

KIO AI is provided "AS IS" and may be in experimental or research preview phase. We may modify, suspend, or discontinue any part of the service at any time without notice. Availability, uptime, and performance are not guaranteed. Features, pricing, and access terms may change. You agree to accept these risks of using preview technology.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Ayubots Robotics, its affiliates, officers, employees, and suppliers SHALL NOT BE LIABLE for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Business losses, lost profits, or revenue
• Customer complaints, reputation damage, or business interruption
• AI outputs, decisions, or actions
• Data loss, security breaches, or privacy violations
• Regulatory fines, legal costs, or compliance failures
• Third-party claims or lawsuits arising from your use

Our total liability shall not exceed the amounts paid by you in the 3 months preceding the claim, or $100, whichever is less. This limitation applies to Ayubots Robotics only and does not limit any rights or remedies you may have against Paddle under Paddle's Buyer Terms and Conditions or Refund Policy in connection with payment processing, billing, or refunds.

Indemnification

You agree to indemnify, defend, and hold harmless Ayubots Robotics from any claims, damages, losses, costs, and expenses (including legal fees) arising from: (a) your use of the service, (b) violation of these terms, (c) violation of any law or third-party rights, (d) your AI robot deployments and outputs, or (e) any content you provide or generate.

Intellectual Property

All content, software, algorithms, design, branding, and documentation provided through KIO AI are protected under intellectual property laws. The names "KIO AI" and "Ayubots Robotics," along with associated branding, are our exclusive property. Unauthorized use will result in legal action. You may not remove, hide, or alter our branding without explicit written permission.

Termination

We may suspend or terminate your access immediately, without notice, for violations of these terms, suspicious activity, or any reason we deem necessary to protect our service or users. Upon termination, your right to use the service ceases immediately. You remain liable for all obligations incurred before termination. Termination of your account does not, by itself, entitle you to a refund; refund eligibility is governed separately by our Refund Policy.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or other unforeseeable events.

Governing Law & Disputes

These terms are governed by the laws of the jurisdiction where Ayubots Robotics is incorporated. Any disputes relating to your use of the KIO AI service shall be resolved through binding arbitration under applicable arbitration rules, or in courts of competent jurisdiction. You waive any right to class action or jury trial with respect to such disputes.

This section governs disputes about your use of the service. It does not apply to the underlying payment Transaction itself, which is a separate contract between you and Paddle governed by Paddle's Buyer Terms and Conditions, including Paddle's own governing law and dispute resolution provisions.

Severability & Entire Agreement

If any provision is found unenforceable, the remainder shall remain in effect. These terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Ayubots Robotics and supersede all prior agreements relating to the subject matter. This does not affect the separate agreement between you and Paddle governing your payment Transaction.

Changes to Terms

We may update these terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use constitutes acceptance of revised terms. If you disagree with changes, you must stop using the service.
